TERMS AND CONDITIONS OF THE IMMIWHERE REFERRAL PROGRAM

1. ACCEPTANCE OF THE TERMS By participating in the Immiwhere Referral Program (hereinafter, the “Program”), you (hereinafter, the “Referrer”) agree to be bound by these Terms and Conditions (hereinafter, the “Terms”). If you do not agree with these Terms, do not participate in the Program.

2. PROGRAM DESCRIPTION The Referral Program allows you, as a current Immiwhere user, to refer new clients (hereinafter, “Referrals”) and receive financial compensation in accordance with the terms set forth herein.

3. ELIGIBILITY To participate in the Program, you must: a) Be an active and current client of Immiwhere with an account in good standing. b) Comply with all Immiwhere terms of service. c) Have the legal capacity to enter into binding contracts. d) Not have violated any provision of these Terms or Immiwhere’s policies.

4. COMMISSION STRUCTURE 4.1 Commission Rate You will receive a commission equivalent to 10% (ten percent) of the monthly value paid by each eligible Referral, calculated on the basis of payments effectively received by Immiwhere. 4.2 Eligible Referral For a Referral to be considered eligible, they must: a) Be a new Immiwhere client who has not had a previous account with the company. b) Register using your unique referral link. c) Complete the registration and verification process satisfactorily. d) Make and maintain active monthly payments for Immiwhere services. 4.3 Duration of Commissions Commissions will be generated monthly as long as the Referral maintains an active account and makes monthly payments to Immiwhere. Commissions will cease in case of cancellation, suspension, or termination of the Referral’s account.

5. COMMISSION PROCESSING AND PAYMENT 5.1 Commission Accumulation Commissions will be accrued in your account once the Referral has completed the corresponding monthly payment and that payment has been processed and confirmed by Immiwhere. 5.2 Minimum Payment Threshold Payments of accrued commissions will only be processed when your total balance reaches or exceeds $30.00 CAD (thirty Canadian dollars). 5.3 Payment Method Payments will be made by transfer to your PayPal account. You must provide a valid email address associated with an active PayPal account to receive payments. 5.4 Payment Request and Processing Payments will only be processed when: a) Your accrued balance reaches or exceeds the minimum threshold of $30.00 CAD established in clause 5.2. b) You actively request payment through the channels designated by Immiwhere. Once your payment request is received and it is verified that you meet the minimum threshold, Immiwhere will process the payment within a reasonable timeframe, generally between 5 and 15 business days. Immiwhere reserves the right to modify the processing times with prior notice. 5.5 Non-Refundable Paid or credited commissions are non-refundable under any circumstances.

6. PROHIBITED CONDUCT You agree NOT to engage in the following activities: a) Using fraudulent, misleading, or spam methods to generate referrals. b) Creating false accounts or using false information to register referrals. c) Making false or misleading advertising or misrepresenting Immiwhere’s services. d) Violating any applicable law or regulation in the promotion of the Program. e) Using Immiwhere trademarks, logos, or materials without express written authorization. f) Referring yourself or entities controlled by you for the purpose of fraudulently obtaining commissions. g) Interfering with the normal operation of the Program or Immiwhere’s systems.

7. SUSPENSION AND TERMINATION 7.1 Immiwhere’s Right Immiwhere reserves the right, in its sole discretion and without prior notice, to: a) Suspend or terminate your participation in the Program. b) Withhold, cancel, or recover commissions if it is determined that you have violated these Terms. c) Modify, suspend, or discontinue the Program at any time. 7.2 Consequences of Termination In the event of termination or suspension due to violation of these Terms, you will forfeit all accumulated commissions pending payment, without the right to any compensation.

8. MODIFICATIONS TO THE TERMS Immiwhere reserves the right to modify, amend, or update these Terms at any time and in its sole discretion, without the need for prior notice. Modifications will take effect immediately upon their publication on the Immiwhere website or by notification to the Referrers. Your continued use of the Program after such modifications constitutes your acceptance of the modified Terms. It is your responsibility to periodically review these Terms to stay informed of any changes.

9. REPRESENTATIONS AND WARRANTIES You represent and warrant that: a) All information you provide to Immiwhere is true, accurate, and complete. b) You will comply with all applicable laws and regulations in connection with your participation in the Program. c) You will not make any statement or warranty on behalf of Immiwhere without express written authorization. d) You will maintain the confidentiality of any non-public Immiwhere information to which you have access.

10. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law: a) Immiwhere will not be liable for loss of profits, revenue, data, or any indirect, special, consequential, or punitive loss arising from the Program. b) You participate in the Program at your own risk. c) Immiwhere does not guarantee any specific level of commissions or income. d) Immiwhere’s total liability will not exceed the amount of commissions paid to you in the six months prior to the claim.

11. RELATIONSHIP BETWEEN THE PARTIES You are an independent contractor and nothing in these Terms will create an employment, agency, partnership, or joint venture relationship between you and Immiwhere. You have no authority to bind or obligate Immiwhere in any way.

12. PRIVACY AND DATA PROTECTION The collection, use, and processing of personal data in the context of the Program is governed by Immiwhere’s Privacy Policy, which forms an integral part of these Terms.

13. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Immiwhere, its affiliates, directors, employees, and agents from any claim, demand, loss, liability, damage, and expense (including reasonable attorneys’ fees) arising out of or in connection with: a) Your participation in the Program. b) Your violation of these Terms. c) Your violation of third-party rights. d) Any fraudulent or illegal activity you carry out.

14. SEVERABILITY If any provision of these Terms is declared invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be deemed deleted from these Terms, but the remaining provisions will remain in full force and effect.

15. WAIVER The failure to exercise or the delay in exercising any right or remedy under these Terms will not constitute a waiver of such right or remedy.

16. ENTIRE AGREEMENT These Terms, together with any policy or guideline incorporated by reference, constitute the entire agreement between you and Immiwhere with respect to the Program and supersede all prior agreements, negotiations, and discussions, whether oral or written.

17. GOVERNING LAW AND JURISDICTION These Terms will be governed by and interpreted in accordance with the laws of the province of Ontario, Canada, without giving effect to any principle of conflict of laws. Any dispute arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

18. TAXES You are responsible for all applicable taxes related to commissions received through the Program. Immiwhere will not provide tax advice and recommends that you consult with a qualified tax professional.
